Terms of Service

These Terms of Service ("Terms") govern your use of the LexUnits website and services at lexunits.com (the "Service") operated by LexUnits ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

All AI-generated outputs are suggestions only and must be reviewed by a qualified legal professional before being relied upon, submitted to clients, or filed with any court or authority. LexUnits does not provide legal advice.

1. The Service

LexUnits is an AI-powered tool that assists legal professionals with time billing by generating structured billing entries from audio recordings, transcripts, and documents. The Service also includes features for drafting correspondence, summarising documents, and generating legal document templates.

The Service is designed as a productivity tool for qualified legal practitioners. It does not replace professional judgment and is not a substitute for legal advice.

2. Eligibility

The Service is intended for use by legal professionals and law firm staff in Australia. By using the Service, you represent that:

  • You are at least 18 years of age
  • You have the legal authority to agree to these Terms
  • If you are using the Service on behalf of a law firm or organisation, you have the authority to bind that entity to these Terms

3. User accounts

You may be required to create an account to use certain features of the Service. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use of your account

4. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to process content that you do not have the right to use or share
  • Attempt to reverse-engineer, decompile, or extract the underlying AI models, prompts, or algorithms
  • Use automated scripts, bots, or scrapers to access the Service
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service in any way that violates applicable laws or regulations
  • Upload content that contains malware, viruses, or harmful code

5. Your content and responsibilities

5.1 Ownership

You retain all rights to the content you upload to or input into the Service ("Your Content"). We do not claim ownership of Your Content.

5.2 Licence to process

By uploading content to the Service, you grant us a limited, non-exclusive licence to process Your Content solely for the purpose of providing the Service to you. This licence terminates when Your Content is deleted (which occurs automatically after processing).

5.3 Professional responsibility

For legal practitioners: You are solely responsible for ensuring that your use of the Service complies with your professional obligations, including but not limited to client confidentiality, legal professional privilege, and the applicable Rules of Professional Conduct in your jurisdiction.

You acknowledge and agree that:

  • You are responsible for obtaining any necessary consents before uploading content (including meeting recordings) to the Service
  • You must review and verify all AI-generated billing entries before submitting them to clients or practice management systems
  • The Service may generate inaccurate, incomplete, or inappropriate billing descriptions, and you are responsible for identifying and correcting any errors
  • Time estimates generated by the Service are approximations and should be adjusted based on your professional judgment
  • AI-generated legal correspondence and documents must be reviewed and adapted by a qualified solicitor before use

6. AI-generated outputs

6.1 Nature of outputs

All content generated by the Service ("Outputs") is produced by artificial intelligence and is provided on an "as is" basis. Outputs may contain errors, inaccuracies, or omissions. We do not guarantee the accuracy, completeness, or suitability of any Output for any particular purpose.

6.2 No legal advice

The Service does not provide legal advice. Outputs including draft correspondence, document summaries, and legal document templates are generated by AI and do not constitute legal advice, legal opinion, or a legal recommendation. Reliance on Outputs without independent professional review is at your own risk.

6.3 Compliance check markers

The Service may automatically flag certain content as "[Potential Personal]" or "Non-billable" based on AI analysis. These flags are suggestions only and do not constitute a determination of whether work is billable. That determination remains the professional judgment and responsibility of the legal practitioner.

7. Subscription and payment

7.1 Plans and pricing

The Service may be offered under various subscription plans. Current pricing is displayed on our website. We reserve the right to change pricing with 30 days' notice.

7.2 Free tier

We may offer a free tier with limited usage. Free tier access may be modified or discontinued at any time.

7.3 Billing

Paid subscriptions are billed monthly or annually in advance. Payments are processed by Stripe. By subscribing, you authorise us to charge your chosen payment method on a recurring basis.

7.4 Cancellation and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for unused portions of a billing period, except as required by the Australian Consumer Law.

8. Intellectual property

8.1 Our intellectual property

The Service, including its design, features, code, AI prompts, and branding, is owned by LexUnits and is protected by copyright, trademark, and other intellectual property laws. "LexUnits" is a trademark of LexUnits.

8.2 Your use of Outputs

Subject to these Terms, you are free to use the Outputs generated by the Service for your professional purposes, including incorporating them into billing records, client correspondence, and documents.

9. Limitation of liability

9.1 To the maximum extent permitted by law

To the maximum extent permitted by applicable law, including the Australian Consumer Law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
  • Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim

9.2 Australian Consumer Law

Nothing in these Terms is intended to exclude, restrict, or modify any consumer guarantee or right under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded, restricted, or modified by agreement. If the Australian Consumer Law applies, our liability for breach of a non-excludable consumer guarantee is limited, to the extent permitted, to resupplying the Service or paying the cost of having the Service resupplied.

10. Indemnification

You agree to indemnify and hold harmless LexUnits and its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your breach of these Terms
  • Your violation of any applicable law or third-party right
  • Any claim by a third party arising from billing entries, correspondence, or documents you create using the Service

11. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

12. Suspension and termination

We may suspend or terminate your access to the Service if:

  • You breach these Terms
  • We reasonably believe your use poses a security risk or may harm other users
  • We are required to do so by law
  • We decide to discontinue the Service (with reasonable notice)

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice on the Service or by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

15. General

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and LexUnits regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
